The terms and conditions of use ("Terms and Conditions") agreed upon in this document apply to users who utilize the services offered by ZapSign through the Platform (as defined below). These Terms and Conditions constitute a legal and binding contract between users ("You" or "User") as current or future clients of ZapSign's services and the Truora Group ("ZapSign," "we," or "our") and establish the guidelines for the use of the services offered through the ZapSign website (the "Platform"). Anyone wishing to access or use the Platform or the services offered therein may do so, provided they accept these Terms and Conditions, as well as the policies and principles incorporated herein and the applicable regulations in the jurisdiction corresponding to each User.

By using this Platform, you agree to and undertake to comply with the following Terms and Conditions of use. Please review these Terms and Conditions carefully. The services we make available to you through the Platform are subject to these Terms and Conditions. In any case, anyone who does not accept these Terms and Conditions must refrain from using the Platform and/or purchasing the services offered.

In the event of a formalized contract (customized plans) between ZapSign and the User, and if there are conflicts between these Terms of Use and any specific clause of the Contract, the provisions of the formalized Contract shall prevail.

 

1. ZapSign Services

  1. Services.  ZapSign is a company focused on providing electronic signature services and document management software (the "Services"). Additionally, each User may purchase complementary services to add layers of security to their electronic signature, such as: (i) facial recognition; (ii) document verification; (iii) email verification; (iv) phone number verification, among others. ZapSign offers its Services through different subscription plans (the "ZapSign Plans") obtained through the Platform, as indicated in Section 2.

  2. ZapSign makes the Services available for purchase by Users through ZapSign Plans, as established in the following link:  https://zapsign.com.br/precos

  3. Transactions.  Each of the Services described in this clause 1 will be measured in transaction volume. Therefore, one (1) Transaction means the use of one (1) operation corresponding to the Services. Each Service operation will be accounted for as an independent Transaction.

 

2. ZapSign Plans

ZapSign offers Users different Service plans, with varying costs depending on the volume of Transactions and the type of Services. The cost of using the Platform will therefore depend on the type of Plan chosen by the User and the additional services they decide to add. Only the Services expressly mentioned in each Plan will be considered included in the established price.

  1. Additional Transactions.  If the User consumes all the Transactions included in their ZapSign Plan, the price of additional Transactions will be subject to the terms and conditions of the ZapSign Plan purchased.

  2. Additional Services:  Each User has the option to add additional services to their ZapSign Plan, such as additional users, batch signing, credits for authentication methods, or extra documents, among others. The price of each Additional Service is not included in the ZapSign Plan; therefore, the User acknowledges that using the Additional Services will incur an additional cost on their bill.

  3. Validity of ZapSign Plans.  ZapSign Plans will be valid for the time period established in the specifications of each ZapSign Plan. The User acknowledges that unused Transactions will expire upon the expiration of their ZapSign Plan. ZapSign Plans will be automatically renewed on the anniversary date.

 

3. Registration on the Platform

  1. ZapSign Account.  To use the Services, you must create an access account on the Platform ("ZapSign Account"). During registration, the Platform will ask you to enter the email address you wish to use to access the platform, as well as your full name.

  2. ZapSign Account Activation.  After entering your details, ZapSign will send you an email to confirm your ZapSign Account. After confirming your details, your ZapSign Account will be activated and you can start using the services available to you.

  3. A ZapSign Account corresponds to the User's credentials for accessing the Platform, and only one ZapSign Account will be enabled per User. Users will have access to the Services when they have an active ZapSign Account. The Services can be accessed on tablets, mobile phones, and computers with Android or iOS operating systems.

  4. You will need to select the type of Plan you wish to purchase, choosing the one that best suits the Services you want to obtain. Then, you will need to fill out a payment form to activate the benefits of your ZapSign Plan. The information requested may include, among other things: full name or company name, identity document number, email, mobile phone number, billing address, and information associated with your credit card.

  5. Accuracy of information.  The User must provide accurate and complete information in response to the Platform's questions and must keep this information updated. You are fully responsible for all activity that occurs on your ZapSign Account, including any actions taken by individuals to whom you have granted access to your ZapSign Account. We reserve the right to suspend or delete the ZapSign Account and deny present and/or future use of the Platform if we suspect that the User has provided false, inaccurate, outdated and/or incomplete information (or that information has become false, inaccurate, outdated or incomplete).

  6. Activation of additional users.  Depending on the specific conditions of the ZapSign Plan, the ZapSign Account may be associated with a number of Users who will have access to the Platform.
ZapSign reserves the right to refuse any registration request or cancel a previously accepted registration, without the obligation to communicate or explain the reasons for its decision and without this generating any right to compensation or indemnification.
 
 

4. ZapSign plan payment

  1. Payment Method.  ZapSign will charge the User for the chosen ZapSign Plan through one of our partner platforms at the time of selecting their own ZapSign Plan. Payment will be made via automatic debit to the credit card that the User has registered on our partner's platform. The User expressly authorizes the debit of the credit card for the ZapSign Plan payment and accepts the agreed method, which will be carried out by the financial institution you indicate.

  2. Automatic Renewal.  The User acknowledges and accepts that their ZapSign Plan subscription will be automatically renewed for the same period of time purchased. Therefore, the User accepts that ZapSign may automatically debit the registered cards for payment of the ZapSign Plan.

  3. The User acknowledges, accepts, and authorizes ZapSign to collect all amounts due from the User (including any subsequent taxes or fees, as applicable) that correspond to or are associated with their ZapSign Account.
    Each User will be responsible for maintaining sufficient funds on the designated billing cards so that payments to ZapSign can be collected, debited, or debited as appropriate. Payments made are non-refundable, except as provided by law.

  4. If, for any reason beyond ZapSign's control, it is unable to automatically debit your card, you agree to provide another payment method within a maximum period of 15 days from notification of the inability to collect payment. If, after this period, the error is not corrected and the User remains in default, then they will lose access to the benefits of the ZapSign Plan. If the User does not make the payment within a period of two (2) consecutive weeks, ZapSign will cancel the ZapSign Plan.

  5. ZapSign reserves the right to modify, alter, add to, or remove the value of the offered Plans at any time, which will be notified to the User through the means that ZapSign deems appropriate.

 

5. Cancellation Policy

The User may request the termination of their ZapSign Plan at any time; however, the Services will be available until the agreed-upon termination date in their Plan, after which the ZapSign Plan subscription will be considered cancelled. Therefore, the User acknowledges and accepts that, under no circumstances, will ZapSign refund the money paid for the Plan.

 

6. Modifications, Suspension and Notifications

  1. Modifications . We reserve the right to modify and revise these Terms and Conditions at any time without prior notice. When a modification is implemented, ZapSign will publish the updated Terms and Conditions ("Updated Version") on the Platform so that Users can read the corresponding changes. Additionally, ZapSign may notify its Users via the email address provided or by any other means that ZapSign deems appropriate, about the Updated Version. The Updated Version will take effect upon publication and will not apply retroactively. Users have the option to expressly accept the Updated Version. Notwithstanding the foregoing, the User's continued use of the Services after the publication of an Updated Version will constitute tacit acceptance of that Updated Version.
    Similarly, ZapSign reserves the right to modify, without prior notice, the design, presentation and/or configuration of the Platform, as well as some or all of the Services, and/or add new services.

  2. Electronic Consent.  You agree that ZapSign may send statements and notices as required by law, send push notifications through the Services, or via WhatsApp to the number registered in your ZapSign Account, or by any other means it deems appropriate. You are responsible for managing your email account and providing ZapSign with your most up-to-date email address. Electronic information and notices have the same meaning and effect as if they had been delivered in hard copies on paper. For notification purposes, you are considered to have received this information and notices within 24 hours of the time they are published on our Platform, or within 24 hours of the time they are sent by email or WhatsApp. In the event that the last email address you provided to us is invalid, or for any reason we are unable to send the notification described above, our sending of the email containing such notification will nevertheless constitute effective notification of the changes described therein.

7. User Responsibilities and Duties

  1.  Responsibilities and Obligations.  The User declares that they will comply with the following duties:
    1. You will not use an account that is subject to any rights belonging to someone other than yourself without proper authorization.
    2. It will not impair the proper functioning of the network, nor will it attempt to damage the Platform in any way.
    3. You will not copy or distribute the Platform or any content without written permission.
    4. You will comply with all applicable laws of your country of residence and the country, state, or city in which you are located when using the Platform or Service.
    5. You will comply with all obligations under these Terms and Conditions.
    6. The purposes for authorizing the processing of personal data will include those purposes necessary for the implementation of the Services.
    7. You will use the Services only for lawful and legal purposes.
    8. It will ensure that the electronic signature service actually complies with the legal requirements for signing the documents that the User uploads to the Platform.
    9. You will be responsible for the use of the Services and compliance with these terms and conditions by any individuals who use them, including end users.
    10. ZapSign will be notified immediately so that ZapSign, in turn, can notify any suppliers it deems necessary, should it become aware of any unauthorized access to or use of the Platform.
    11. You will use the Platform only in accordance with applicable laws and regulations.
    12. You will be responsible for the legality of your customers' data.
    13. You must request clear and explicit authorization for the processing of the data subjects' personal data in order to carry out: electronic signature, identity verification and/or background checks, as applicable.
    14. You will use the Services solely in accordance with these Terms and Conditions. At ZapSign's request, the User will provide evidence that the required notices and consents referred to in (c) herein have been provided or collected (as applicable).

  2. You are solely responsible for maintaining the confidentiality of your ZapSign Account, as well as your access information to the Platform, and for restricting access to the Services from your compatible devices. Therefore, you are fully responsible for the activities that occur under your ZapSign Account. You agree to immediately notify ZapSign of any event that suggests misuse of the information registered in these forms, such as theft, loss, or unauthorized access to accounts and/or passwords, in order to proceed with its immediate cancellation. ZapSign will not be liable in any case for any loss or damage arising from your failure to comply with the requirements set forth in this Section.

  3. It is the User's responsibility to use the Platform in accordance with its intended purpose. The User agrees to use the information, content, or services offered through the Platform lawfully, without violating these Terms and Conditions, morality, and/or public order, and will refrain from any act that may affect the rights of third parties or in any way harm the operation of the Platform.

  4. In cases where the User is a company, it must be duly incorporated, and the person in charge of the ZapSign Account must have the power to represent, contract with, and bind the User under the terms of this contract, a capacity which the User declares to possess. The User has the required authorizations to be bound by these Terms and Conditions. No authorization from any authority other than a corporate body is required for the execution and fulfillment of this document.

  5. In cases where the User is an individual, they must be of legal age according to applicable law to use the Platform. If you reside in a jurisdiction that restricts the use of the Platform based on age or restricts the ability to enter into contracts such as this one based on age, you must respect those age limits and refrain from using the Platform.

  6. ZapSign reserves the right to immediately terminate the service and your use of the Platform if you violate any of the above rules and obligations.

  7. The User acknowledges and releases ZapSign, as well as its affiliates and the Truora Group, from any damage, loss, claim, fine, or penalty arising from the User's failure to comply with the provisions set forth herein.

8. User Restrictions

The rights granted to the User in these Terms and Conditions for the use of the Platform are subject to certain restrictions. The right of use granted upon contracting the Services is non-transferable, revocable, non-exclusive, and limited to the User's use for the purposes defined by the nature of the Services and not for their exploitation or commercialization by the User. No User may or should allow a third party to perform any of the following actions, either directly or indirectly:

    1. Accessing or monitoring any material or information in any ZapSign system using any manual process or means such as robots, spiders, scrapers, integrations, available APIs, or any other automated means;
    2. Violating the restrictions of any of the Services' robot exclusion headings, using workarounds, omissions or circumventions of any of the Services' technical limitations, using any tool to activate functions or features that are disabled in the Services, or decompiling, disassembling or reverse engineering the Services, decompiling or using any other means to attempt to discover the source code, object code of the Platform's structure, except to the extent that such restriction is expressly prohibited by applicable law;
    3. To perform or attempt to perform actions that interfere with the proper functioning of the Services, or that place an unreasonable or disproportionately high load on our infrastructure;
    4. Obtaining or attempting to obtain access to any confidential information from ZapSign by any means. The use of bots, automation code and/or malware intended to steal confidential information;
    5. Copying, reproducing, altering, modifying, creating derivative works, publicly displaying, republishing, uploading, publishing, transmitting, reselling or distributing in any way material, information or Services from ZapSign without prior authorization from ZapSign or the Truora Group;
    6. Transfer the rights granted to you under these Terms and Conditions;
    7. Using the Services for any illegal activity or products, whether national or international, in any way that exposes you, our partners, or ZapSign to harm; or
    8. Using the Services in any way other than as expressly permitted under these Terms and Conditions.
    9. Using the Platform for the purpose of causing moral harm to another by using the Holder's information.
    10. Using the Platform with the aim of causing financial harm to the owner of the personal data.
    11. Using the Platform with the aim of impersonating the Data Subject.


  1. Even so, the  User does NOT :
    1. You will not make or give any similar representations, warranties or promises about the Services to any third party, including your end customers, unless otherwise agreed with ZapSign in writing;
    2. You will not make the Services available to, or use the Services for the benefit of, any other person, unless previously authorized by ZapSign;
    3. You will not access, store, distribute, or transmit any viruses through the Services;
    4. You will access the Services to create a competing product or service;
    5. It will authorize or permit its end users or any third party to participate in the aforementioned activities.


  2. If ZapSign reasonably suspects that your ZapSign Account has been used for an unauthorized, illegal, or criminal purpose, we rely on your express permission to share information about you, your ZapSign Account, and any of your Transactions with the appropriate authorities.

  3. ZapSign reserves the right to immediately terminate the Services and your use of the Platform if you violate any of the above rules and obligations.

 

9. Questions, Complaints, Claims and Suggestions

10. Access to the Platform

  1. Operational requirements.  In order to use the Platform and the Services on it, the User must have a data network connection. Each User is responsible for acquiring and updating compatible hardware and software or the devices necessary to access and use the website, mobile applications, and any updates thereof.

  2. ZapSign does not guarantee access to the Platform or its content, and therefore will not be responsible for ensuring that it is free from errors, malicious software, or that it may cause any software or hardware damage to the equipment through which the User accesses the Platform. ZapSign is also not responsible for damages that may be caused by improper use of the Platform and in no case will it be liable for losses, damages or harm of any kind arising from simply accessing or using the Platform.

  3. By purchasing the Services, the User agrees that: (i) they are responsible for reading the Terms and Conditions before committing to purchase the Services; and (ii) they enter into a legally binding contract to purchase the Services. The prices that ZapSign charges for the use of the Services are available on the Platform.

 

11. Personal Data of Third Parties

  1. Validation of judicial background checks in different public databases;
    Confirmation of metrics to validate identity;
    Sending messages through automated bots.
    For any other purpose related to the fulfillment of the contractual relationship between the Data Controller and the Operator.
    The User acknowledges and declares that, by virtue of providing the Services, the User will act as the Data Controller for the Personal Data of End Customers or third parties and, therefore, will collect, store, use, circulate or delete Personal Data in accordance with current and applicable legislation. Similarly, the User will transmit Personal Data to ZapSign, so that it, as the Operator, may process it in accordance with applicable law and the provisions of these Terms and Conditions and the Privacy Policy.


  2. The User agrees to request the respective authorization from each of the Personal Data holders, authorizing the Processing by the Operator.

  3. The User guarantees that the processing of their data by ZapSign is within the purposes communicated to the Data Subjects, and that each of those purposes is specific to each of those purposes.

  4. The User acknowledges that ZapSign does not supervise or assume responsibility for how the User provides Personal Data of third parties, how it processes this Personal Data, and any request for information regarding the disclosure of this Personal Data by the User should be directed to the User. The User must inform third parties whose Personal Data they disclose to ZapSign of the content of ZapSign's Privacy Policies, indicating the website where they can consult them.

  5. Obtain and maintain all necessary licenses, notices, consents, and permissions (including, to the extent applicable, notices and consents to collect and use biometric data) required for any ZapSign service providers to provide the Customer Service in accordance with the terms of this Agreement.

  6. Purpose and Scope.  The Data Controller's Personal Data will be processed by the Operator solely and exclusively for the fulfillment of the Services described in these Terms and Conditions. Therefore, the Personal Data is used by the Operator only for the development of the following activities and purposes on behalf of the Data Controller exclusively:
    1. Validation of criminal records in different public databases;
    2. Metrics confirmation to validate identity;
    3. Sending messages via automated bots.
    4. For any other purpose related to the fulfillment of the contractual relationship between the Responsible Party and the Operator.


  7. Specific obligations of ZapSign. In its capacity as Operator, ZapSign is obligated to the holders of Personal Data and to the User to:
    1. To process Personal Data on behalf of the Controller in accordance with this Agreement and the principles governing it.
    2. To safeguard the security of the databases in which Personal Data is contained.
    3. Maintain strict confidentiality regarding the processing of personal data.
    4. To guarantee to Data Subjects the full and effective exercise of their rights associated with the protection of Personal Data.
    5. To promptly update, correct, or delete the Data in compliance with applicable law.
    6. Update the information reported by the User within five (5) business days from the date of receipt.
    7. To process inquiries and complaints submitted by Data Subjects in accordance with the terms indicated by the User.
    8. To process Personal Data in accordance with the User's Data Processing Policy and for the purposes established by the User.

 

12. Privacy and Data Protection Policy

  1. ZapSign is committed to the security of its Users' and their End Customers' information, and has therefore adopted technical and organizational measures aimed at protecting information against destruction, accidental loss, alteration, and unauthorized access, use, modification, or disclosure.

  2. ZapSign does not guarantee that unauthorized third parties cannot bypass these measures or use the information for improper purposes. Therefore, the User acknowledges that they provide their information and the information of their End Customers at their own risk and, likewise, undertakes to adopt the necessary measures within their reach to ensure the privacy of the personal data collected in a way that guarantees its security, prevents its alteration, loss or unauthorized processing.
  3. Privacy. All Users must adhere to ZapSign's Privacy and Personal Data Processing Policy ("Privacy Policy"). By using any of the Services, you accept our processing policies that apply to your Personal Data and the personal data of third parties provided by you.

  4. The Privacy Policy explains how ZapSign collects, uses, and protects the personal information you provide to us when ZapSign uses your personal data to provide you with the Services or for its own purposes. Users are advised to familiarize themselves with the Privacy Policy before using the Platform and purchasing the Services.

  5. ZapSign reserves the right to modify its Privacy Policy, according to its needs or in accordance with applicable legislation. Access to or use of the Platform by the User after such changes will imply acceptance of these changes.

  6. Limited License for End Customer Personal Data. The User grants non-exclusive and limited-duration authorization to access, copy, execute, distribute, display, download, and use end customer data to ZapSign and ZapSign's suppliers such as Veriff and Truora. The processing of personal data will correspond to (a) exercising its rights and obligations under the Agreement, (b) providing, maintaining, and updating the Service, (c) preventing or resolving technical or service problems, or at the Client's request in relation to a customer support request, and (d) producing anonymous and aggregated statistical reports and research that cannot identify the Client or its end users (while such result is part of Veriff's intellectual property).

 

13. Ownership and Copyright

You acknowledge and agree that all intellectual property rights, including but not limited to copyright, patents, trademarks, software development, logos, and trade secrets, found on the Platform belong exclusively to ZapSign or its supplier companies. The User acknowledges that neither these Terms and Conditions nor access to the Platform grants them any rights or title to intellectual property rights. Similarly, the User accepts that they are not authorized under any circumstances to reproduce, assign, sell, rent, or lend ZapSign's intellectual property and therefore undertakes not to assign its use, in whole or in part, in any way, nor to disclose, publish, or otherwise make it available to other people.

 

14. Limited License for Services

ZapSign grants a non-exclusive and non-transferable subscription license to the Platform to access and use the Services for purposes consistent with these Terms and Conditions during the ZapSign Plan.

 

 

15. Cookies and other technological tools

ZapSign uses cookies and similar technologies to personalize and improve the User experience, as well as to display relevant online advertising. Cookies are small text files containing a unique identifier that is stored on the computer or mobile device through which you access the website and/or mobile applications, so that they can be recognized each time you use the website and/or mobile applications. The User can choose to disable some or all of the cookies we use at any time. However, this could restrict your use of the sites and limit your experience on them. The use of cookies does not contain or affect personal data and does not represent a virus hazard.

 

 

16. Compensation

  1. The User releases ZapSign from all liability and undertakes to hold ZapSign and our respective employees, directors, agents, affiliates and representatives harmless from any claim, cost, loss, damage, judgment, tax assessment, fine, interest; loss, damage, liability and/or contingency (including, without limitation, reasonable attorneys' fees) arising from any claim, action, audit, investigation, inquiry or relating thereto, or other proceeding initiated by any person or entity arising out of or relating to: (a) any actual or alleged breach of your representations, warranties or obligations acknowledged in these Terms and Conditions; (b) the misuse or improper use of the Services; (c) the violation of any third-party right, including any right of privacy, publicity or habeas data; (d) the violation of any law, rule or regulation in any country; (e) the access and/or use of the Services with your unique name, password or other suitable security code by third parties; (f) any complaint, claim or damage that its End Customers and/or third parties may cause in relation to the User's use of the Services; and (g) failure to comply with any provision relating to the protection of Personal Data subjects.

  2. The User expressly waives any right to file any claim, demand, or legal and/or administrative action against ZapSign, its administrators, representatives, and shareholders, as they understand and accept that ZapSign's role is limited to providing information found in various publicly accessible databases. Consequently, ZapSign will not be liable for any damage or loss that the User or their End Clients may suffer as a result of using the Services through the Platform.

  3. User Regulatory Compliance. The User has adopted reasonable risk-based procedures, which may include the implementation of compliance detection tools, to ensure that the User will not cause ZapSign to violate applicable economic, commercial, or financial laws, rules, or regulations, including the laws, rules, or regulations of the U.S., the EU, the UN, or any other law, rule, or regulation applicable to the Services ("Sanctions Laws"). In this regard, in the absence of general or specific authorizations under applicable laws, the User has adopted reasonable risk-based procedures to ensure that the User will not cause ZapSign to facilitate, directly or indirectly, transactions involving: (i) any citizen or resident or entity formed under the laws of or located in any country or region subject to U.S. economic sanctions, suspensions, or full embargoes administered by OFAC, which, as of the effective date, includes Iran, Cuba, North Korea, the Crimean, Donetsk, and Luhansk regions of Ukraine, or Syria; (ii) any person listed on any international sanctions list administered or enforced by OFAC, the United Nations Security Council, the European Union, including, without limitation, designation on the OFAC List of Specially Designated Nationals and Blocked Persons or the OFAC List of Foreign Sanctions Evaders or any other applicable list of sanctioned, embargoed, blocked, criminal or disabled persons maintained by any U.S. or non-U.S. government ("Sanctions Lists"); or (iii) any entity that is owned 50% or more, individually or collectively, directly or indirectly, or is controlled by (including, without limitation, by virtue of such person being a director or holding voting shares or interests), or acts, directly or indirectly, for or on behalf of, any person or entity on a Sanctions List. The User must notify ZapSign in writing and immediately upon discovery of any known or suspected violation of Sanctions Laws in relation to the Services, including notification (a) in relation to any transaction facilitated by or involving ZapSign that is confirmed to have involved an individual or entity subject to the descriptions in sections (i) to (iii) of this section for which there is no apparent authorization under applicable law; and (b) if the known or suspected violation is committed by that User or any of its employees, directors, investors, employees, contractors, senior managers, partners, owners, officers, or any agent acting on behalf of that User.

 

17. Limitation of ZapSign's Liability

  1. Under no circumstances will ZapSign, its personnel, or any party involved in the production of the Services be liable for any direct or indirect damages, nor for any intangible losses arising in connection with these Terms and Conditions.

  2. ZapSign will be solely and exclusively responsible to third parties and to the User in cases where gross negligence or intent on the part of ZapSign is proven to have caused the damage or event for which it is liable. Similarly, ZapSign will be solely and exclusively responsible up to the total amount of the User's scholarship invoice.

 

18. Arbitration Clause

Law and Jurisdiction.  These Terms of Use are governed by the laws of the Federative Republic of Brazil. Any doubts and situations not foreseen in these Terms of Use will be resolved first by ZapSign and, if they persist, must be resolved by the Court of the District of São Paulo, São Paulo, to the exclusion of any other, however privileged it may be or may become.
